You are responsible for paying all such fees, charges and taxes. We are not responsible for any equipment You may need to be able to access or use the Service.
1.3. User Account. You are required to set up a TrackDrive account to use the Service. You may not use the username or password of any other person, nor may You circumvent any authentication mechanism requiring the entry of usernames, passwords, or any other information to gain unauthorized access to the Service. These Terms shall also terminate immediately upon the windup, dissolution, or insolvency of either party, whether voluntary or not.
1.4.2. Suspension and Termination Without Notice. TrackDrive reserves the right to immediately suspend or terminate your account, this Agreement, and/or your access to the Service at any time, for any reason not prohibited by law, without advance notice to You. This includes, but is not limited to:
- Breach of Agreement: Any violation of the terms of this Agreement, including violations of Section 2 (Platform Use Compliance & Restrictions) or failure to pay applicable fees under Section 3;
- Third-Party Discontinuation: If We are unable to access or use any of the third-party services required to operate the Service, or if such services are discontinued, become obsolete, or are otherwise not commercially available;
- Regulatory or Carrier Action. If directed, requested, or recommended by any regulatory authority (including the FCC, FTC, or State Attorneys General), the Industry Traceback Group (ITG), or any upstream telecommunications carrier, or if TrackDrive determines in its sole discretion that your traffic poses a legal, financial, or reputational risk to TrackDrive's network integrity;
- Any other reason described in this Agreement.
1.4.3. Effect of Termination. Upon termination, your access to the Service and your access to any Campaign Content, including the Content dashboard, will be immediately disabled, and You shall immediately cease all use of the Service. Upon processing, We will cease new recurring charges to your payment method, but your account and access to the Platform will remain active until the conclusion of your current subscription period or monthly commitment cycle.
1.5.3. Outstanding Financial Obligations. Cancellation of your account does not relieve You of the obligation to pay for any Service Fees as utilized prior to the effective date of cancellation. You acknowledge and agree that you remain fully responsible for any outstanding usage fees, fractional billing, and delayed carrier surcharges or compliance penalties resulting from your traffic, even if such fees are assessed by upstream carriers after your account has been closed, and even if we did not advise you of such fees.
1.5.4. Loss of Data and Telephony Assets. Upon expiration of the Term, your access to the Platform will be terminated. You acknowledge that all Campaign Content, call logs, and call recordings will become inaccessible, and any rented telephony assets (including local DIDs and Toll-Free Numbers) will be immediately released back to the upstream carriers and cannot be recovered.

12. BINDING ARBITRATION AND CLASS ACTION WAIVER.
12.1. Agreement to Arbitrate & Class Action Waiver.
12.1.1. Acknowledgement; Covered Disputes; Exclusion. The Parties agree that any dispute, claim, or controversy, regardless of format, arising out of or relating to this Agreement, the services provided under it, the Platform and/or the Services, any related transactions, communications, or marketing, or the validity, enforceability, or scope of this Arbitration Agreement (collectively, “Disputes”), will be resolved solely and exclusively by binding individual arbitration, except as expressly provided below in Section 12.2. BY AGREEING TO ARBITRATION, THE PARTIES UNDERSTAND AND AGREE THAT THEY ARE WAIVING THE RIGHT TO A TRIAL BY JUDGE OR JURY. THIS SECTION APPLIES TO ALL DISPUTES, WHETHER BASED IN CONTRACT, STATUTE, REGULATION, ORDINANCE, TORT (INCLUDING NEGLIGENCE), FRAUD, MISREPRESENTATION, OR ANY OTHER LEGAL OR EQUITABLE THEORY, WHETHER BROUGHT INDIVIDUALLY OR IN THE FORM OF A CLASS ACTION, CLASS ARBITRATION, OR SIMILAR PROCEDURAL DEVICE, AND WHETHER SEEKING MONETARY, INJUNCTIVE, OR DECLARATORY RELIEF.
12.1.2. Arbitration Procedures. If the Parties are unable to resolve any Dispute through informal means, either party may initiate binding arbitration of such Dispute by sending Notice demanding arbitration to the other party. The demand for arbitration will be made within a reasonable time after the Dispute has arisen, but in no event will it be made more than one year from when the aggrieved party knew or should have known of the controversy, claim, or facts forming the basis of the Dispute. The arbitration will be initiated and conducted according to American Arbitration Association ("AAA") rules and procedures for commercial arbitration, if you are a business entity, or for consumer arbitration, if you are an individual. The arbitration will be conducted in El Paso County, Colorado before a neutral arbitrator appointed in accordance with the Arbitration Rules, and shall be conducted pursuant to the laws, rules, and regulations of the State of Colorado, without regard to its internal conflict of law principles.
The arbitrator shall be authorized to grant any relief available under law or in equity and any award rendered shall be final and conclusive upon the parties; EXCEPT, however, that the arbitrator shall not be authorized to: i) award punitive damages to either You or TrackDrive unless such punitive damages are an available remedy as codified under any of the laws of the state of Colorado governing the specific substantive subject matter of the claim(s) and the subject of any arbitration proceeding then in effect at the time of such claim; or ii) issue any award inconsistent with the limitation on liability set forth in Section 10. If twenty-five (25) or more similar demands for arbitration are filed against TrackDrive by or with the assistance of the same law firm or coordinated group, the AAA shall administer the demands in batches of fifty (50) per batch, and TrackDrive shall only be responsible for paying filing fees for the current active batch.
Any judgment must be entered exclusively in the 4th Judicial District and El Paso County Combined Courts, situated in Colorado Springs, Colorado, USA, and the arbitrator shall award reasonable costs and fees, including reasonable attorney’s fees and all arbitration fees, to the prevailing party, notwithstanding the then-current rules of the AAA.
12.2. Exceptions. TrackDrive reserves the right to bypass arbitration and seek immediate injunctive or equitable relief in a court of law to protect its intellectual property rights or to stop unauthorized access, data breaches, or scraping of the Platform. Additionally, either Party may bring qualifying claims in a Small Claims Court of competent jurisdiction, and TrackDrive may seek legal relief in court to enforce an arbitrator’s decision hereunder.
12.3. WAIVER OF JURY TRIAL AND CLASS ACTION. NOTWITHSTANDING THE FOREGOING, BY AGREEING TO THIS PLATFORM SERVICES AGREEMENT, EACH PARTY IRREVOCABLY WAIVES ANY RIGHT IT MAY HAVE TO JOIN CLAIMS OR DISPUTES WITH THOSE OF OTHERS IN THE FORM OF A CLASS ACTION, CLASS ARBITRATION, OR SIMILAR PROCEDURAL DEVICE, AND WAIVES ANY RIGHT IT MAY HAVE TO PRESENT ITS CLAIM OR DISPUTE IN A COURT OF LAW EXCEPTING THE RIGHT TO BRING A CLAIM OR DISPUTE IN A SMALL CLAIMS COURT IN ACCORDANCE WITH THE ARBITRATION RULES OR TO ENFORCE THESE ARBITRATION PROCEDURES. THIS WAIVER IS A NECESSARY AND MATERIAL TERM OF THE CONTRACT AND BOTH PARTIES AGREE TO BE BOUND BY ITS TERMS.

You agree to regularly check this Agreement as posted on our Website to view the then-current terms.
13.2. Effective Date & Continued Use. If We post amended terms to this Agreement on our Website, such terms will automatically become effective and shall be incorporated into this Agreement immediately upon being posted, unless a later effective date is explicitly stated in the notice of modification. For material changes that significantly alter Your rights or obligations (such as destructive data retention limits), We will use commercially reasonable efforts to provide at least thirty (30) days' advance notice before such changes take effect. If inconsistent with any other terms and conditions of this Agreement, the amended terms shall supersede any such conflicting terms or conditions. By accessing and using the Service after such revised terms are posted and effective, You agree to be bound by any such revised terms. Your access and use of the Service will always be subject to the most current versions of these terms and our Privacy Policy in effect at the time of such use. We may require you affirmatively accepted amended terms to this Agreement before You continue to use the Service or Platform.
13.3. Rejection of Amendments. If You do not accept any amendments, You must terminate your account by notifying us in writing by email of your election to do so. This Agreement will then terminate, in which case You shall receive a prorated refund of the Service Fees.
13.4. Sole Right to Amendment. TrackDrive shall have the sole and exclusive authority to update, revise, modify, or otherwise change this Agreement. No change to this Agreement is effective unless made by TrackDrive, or it is approved in writing by an authorized representative of TrackDrive. You shall have no ability or right to modify this Agreement. You also expressly acknowledge and agree that no statements or representations by any AI Agents shall be capable of modifying this Agreement.

B. Severability. If any provision of this Agreement is held by a court or other tribunal of competent jurisdiction, in whole or in part, to be invalid, illegal, or unenforceable in any respect, for any reason, the validity, legality, and enforceability of the remainder of that provision, any other remaining provisions, and of the entire Agreement shall not in any way be affected or impaired thereby and shall be interpreted, to the extent possible, to achieve the purposes as originally expressed with the provision found to be invalid, illegal or unenforceable. C. Governing Law; Venue. This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws principles. Furthermore, this Agreement will not be governed or interpreted in any way by referring to any law based on Uniform Computer Information Transactions Act (UCITA), any other act derived from or related to UCITA or the United Nations Convention for the International Sale of Goods, each of which is disclaimed in their entirety. Other than claims required to be submitted to arbitration pursuant to Section 12 above, all other claims, demands, controversies or legal proceedings arising out of or related to this Agreement and/or your use of the Service in general may only be brought and heard exclusively in the 4th Judicial District and El Paso County Combined Courts, situated in Colorado Springs, Colorado, USA, or the United States District Court for the District of Colorado, and You hereby expressly agree to submit to the personal jurisdiction of such court and consent to extraterritorial service of process. Further, You waive any right to challenge the selection and choice of jurisdiction and You acknowledge that the right of selection of jurisdiction being waived by You is a valid part of the consideration of allowing access to and use of the Service by You.

F. Assignment. We may assign our rights and obligations under this Agreement without your consent at any time with or without notice to You. You may not assign, delegate or otherwise transfer all or any part of your rights or obligations under this Agreement without our prior written consent. All such provisions shall extend beyond the termination of this Agreement or otherwise beyond the expiration of your right to use the Service and will remain in full force and effect in perpetuity.
H. No Joint Venture or Partnership Relationship; No Agency. Nothing in this Agreement shall be construed to create a partnership, joint venture or combined entity by or between TrackDrive and You or to make either the agent of the other, or to create any form of agency between the Parties, and neither shall have the authority to bind the other. Each party shall be solely responsible for determining the applicability of, and compliance with, any present and future federal, state and local laws, orders, codes, regulations, and ordinances that may apply to each party and their respective businesses and employees.
